Fiscal Gauge™ Terms of Use

These Terms of Use (“Terms”) govern access to and use of Fiscal Gauge™ (“Fiscal Gauge,” the “Application,” or the “Service”), a business decision-support application provided by Wayfinder Business Solutions, LLC (“Wayfinder,” “we,” “us,” or “our”).

By purchasing, accessing, activating, or using Fiscal Gauge, you agree to these Terms. If you do not agree to these Terms, do not access or use Fiscal Gauge.

1. Purpose of Fiscal Gauge

Fiscal Gauge is a business decision-support and financial modeling tool designed to help business owners evaluate the potential financial impact of contemplated business decisions using information and assumptions supplied by the user.

Fiscal Gauge may model matters such as hiring, major purchases, owner distributions, compensation changes, expansion, recurring expenses, timing alternatives, projected cash positions, reserves, and other business decisions.

Fiscal Gauge provides modeled analysis. It does not approve, reject, authorize, certify, or recommend a business decision.

2. Not Professional Advice

Fiscal Gauge does not provide accounting, tax, legal, investment, lending, banking, financial-planning, insurance, or other regulated or professional advice.

Use of Fiscal Gauge does not create an accountant-client, attorney-client, financial-adviser, fiduciary, lender-borrower, consultant-client, or other professional advisory relationship between you and Wayfinder.

Fiscal Gauge results should not be treated as a substitute for professional judgment. For significant financial or business decisions, you should consult your CPA, accountant, attorney, lender, financial professional, or other qualified adviser as appropriate.

3. User Inputs and Assumptions

Fiscal Gauge relies substantially on information and assumptions supplied by you.

You are responsible for the accuracy, completeness, reasonableness, and timing of the information you enter, including cash balances, expected inflows, obligations, reserves, anticipated costs, expected benefits, margins, timing assumptions, and other financial or operational information.

Wayfinder does not independently audit, verify, certify, or validate your financial information.

Incorrect, incomplete, outdated, unrealistic, or uncertain inputs may materially affect the analysis produced by Fiscal Gauge.

4. Modeling Assumptions and Estimates

Fiscal Gauge uses mathematical models, classifications, assumptions, confidence adjustments, thresholds, projections, and other analytical methods to produce decision-support information.

These methodologies are intended to provide structured financial visibility. They are not universal accounting standards, lending standards, investment standards, or rules applicable to every business.

Projected and forward-looking results are inherently uncertain.

A Protected Reserve entered into Fiscal Gauge is selected by the user. Fiscal Gauge does not prescribe the appropriate reserve level for your business.

Expected financial benefits, anticipated revenue, savings, efficiencies, or other future improvements are assumptions and are not guaranteed to occur.

5. Capacity Classifications

Fiscal Gauge may characterize modeled financial capacity using classifications such as Strong Capacity, Adequate Capacity, Tight Capacity, or Limited Capacity.

These classifications describe conditions produced by the Fiscal Gauge model based on the information and assumptions entered.

They do not constitute approval, rejection, authorization, certification, or a professional recommendation regarding a business decision.

A Strong or Adequate Capacity result does not mean that a decision is risk-free or that funds are “safe to spend.” A Tight or Limited Capacity result does not establish that a transaction or decision is impossible or prohibited.

You remain responsible for interpreting the analysis in the context of your business.

6. No Guarantee of Results

Wayfinder does not guarantee the accuracy of future projections or any particular financial, operational, revenue, profitability, cash-flow, growth, efficiency, employment, investment, or other business outcome.

Actual results may differ materially from modeled results because of changes in customer payments, expenses, market conditions, economic conditions, financing, taxes, personnel, business performance, unexpected events, user assumptions, and other circumstances outside Wayfinder's control.

Past or current financial conditions do not guarantee future conditions.

7. Responsibility for Business Decisions

You retain responsibility for decisions made concerning your business.

Fiscal Gauge is one source of decision-support information and should not be the sole basis for a material business decision where professional analysis, due diligence, financing review, legal advice, tax advice, accounting advice, or other specialized expertise would reasonably be appropriate.

Wayfinder is not responsible for decisions made or actions taken based on your use or interpretation of Fiscal Gauge outputs, except to the extent responsibility cannot legally be excluded under applicable law.

8. License to Use Fiscal Gauge

Subject to these Terms and payment of any applicable purchase price, Wayfinder grants the purchaser a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Fiscal Gauge for the purchaser's own internal business purposes.

Purchase does not transfer ownership of Fiscal Gauge or any intellectual-property rights.

Your license key is issued in connection with your purchase. You are responsible for keeping it reasonably secure.

Reasonable use on multiple devices or browsers by the purchaser does not, by itself, constitute misuse. You may not intentionally share your license key or application access with unauthorized persons or use one purchase to provide Fiscal Gauge as a generally shared or publicly accessible service.

9. Intellectual Property

Fiscal Gauge, including its methodology, structure, calculations, models, classification framework, interfaces, visual Gauge, written content, reports, designs, software, source code, server-side logic, trademarks, graphics, and other original elements, is owned by or licensed to Wayfinder and is protected by applicable intellectual-property laws.

Fiscal Gauge™, Wayfinder, associated branding, and related marks are proprietary to their respective owners.

Except for the limited right to use Fiscal Gauge under these Terms, no intellectual-property rights are transferred to you.

10. Prohibited Uses

Except where applicable law expressly provides otherwise, you may not:

• Sell, resell, sublicense, rent, lease, distribute, publish, or commercially provide access to Fiscal Gauge or your license key to unauthorized third parties.

• Copy, reproduce, republish, or distribute protected portions of Fiscal Gauge except for ordinary internal use of reports legitimately generated for your business.

• Attempt to obtain, discover, extract, derive, reproduce, or reconstruct proprietary source code, server-side logic, formulas, algorithms, classification thresholds, scoring methodology, or other non-public components of Fiscal Gauge.

• Systematically submit inputs, scrape outputs, automate queries, harvest data, or use similar methods for the purpose of reconstructing Fiscal Gauge's methodology.

• Use Fiscal Gauge outputs, interfaces, reports, or behavior to create, train, benchmark, reproduce, or materially assist development of a substantially similar or competing product through unauthorized extraction of Wayfinder's proprietary methodology.

• Circumvent authentication, licensing, access controls, rate limits, security controls, or other technical protections.

• Interfere with, disrupt, overload, probe, attack, or attempt unauthorized access to Fiscal Gauge or its infrastructure.

• Use Fiscal Gauge for unlawful, fraudulent, abusive, or deceptive purposes.

• Remove or obscure proprietary, copyright, trademark, license, or other ownership notices.

Nothing in these Terms restricts rights that cannot lawfully be restricted.

11. Decision Reports

Fiscal Gauge may permit you to generate a Decision Report containing your inputs, assumptions, modeled results, and related analysis.

You may retain and use reports generated for your own legitimate internal business purposes and may share them with employees, owners, accountants, attorneys, lenders, or other advisers when reasonably necessary for your business.

A Decision Report remains subject to its accompanying disclosures and should not be represented as an audit, assurance report, certification, valuation, lending approval, investment recommendation, or professional opinion issued by Wayfinder.

12. Access, Availability and Changes

Wayfinder may maintain, modify, update, improve, replace, suspend, or discontinue portions of Fiscal Gauge as reasonably necessary for security, maintenance, legal compliance, product improvement, or business operations.

Wayfinder does not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur because of maintenance, internet availability, third-party providers, security events, or circumstances outside Wayfinder's reasonable control.

13. Suspension or Revocation

Wayfinder may suspend or revoke access where it reasonably determines that a license has been obtained fraudulently, materially shared or redistributed without authorization, used to circumvent security or licensing controls, used for prohibited automated extraction or reconstruction, or otherwise used in material violation of these Terms.

Ordinary legitimate use across reasonable devices, browsers, or locations should not by itself result in suspension.

Where reasonably practicable, Wayfinder may provide an opportunity to resolve suspected misuse before permanent revocation, except where immediate action is reasonably necessary to protect the Application, Wayfinder, its customers, or its intellectual property.

14. Purchases and Refunds

Fiscal Gauge is a digital product providing access to software and related digital information.

Except where required by applicable law or otherwise expressly stated at purchase, purchases are final once digital access has been provided.

Verified technical-access problems may be reported to Wayfinder for reasonable assistance. Providing technical assistance does not create a general right to a refund.

Any additional purchase terms presented during checkout form part of the agreement governing your purchase.

15. Third-Party Services

Fiscal Gauge may rely on third-party providers for services such as payment processing, digital commerce, license verification, hosting, security, email, or other infrastructure.

Those providers may process information according to their own applicable terms and privacy practices.

Wayfinder is not responsible for failures or interruptions caused solely by third-party systems outside Wayfinder's reasonable control, except where applicable law provides otherwise.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Fiscal Gauge is provided on an “as is” and “as available” basis.

Wayfinder disclaims warranties that may lawfully be disclaimed, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Wayfinder Business Solutions, LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or similar losses arising from or relating to use of or inability to use Fiscal Gauge.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded.

18. Privacy

Your use of Fiscal Gauge is also subject to the Fiscal Gauge Privacy Policy.

19. Governing Law

These Terms and your use of Fiscal Gauge are governed by applicable law. Any governing-law, venue, or dispute-resolution requirements that apply will be interpreted in accordance with applicable law.

20. Changes to These Terms

Wayfinder may update these Terms from time to time to reflect changes to Fiscal Gauge, applicable law, security practices, or business operations.

The current version and effective date will be made available through Fiscal Gauge or an associated Wayfinder website.

Material changes will apply prospectively as required by applicable law.
